These Terms of Service ("Terms") govern your use of the website https://reeply.is (the "Website") and the Qeri product and services (collectively, the "Service") provided by Reeply B.V. ("Company," "we," "us," or "our"), a private limited liability company incorporated under the laws of the Netherlands.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Services Provided

Qeri is a platform designed to help optimize your presence in AI search results (such as ChatGPT, Perplexity, and Google AI). We provide tools and analytics to turn AI mentions into traffic and customers.

2. Accounts and Registration

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

3. Subscriptions and Payments

3.1 Pricing
The Service is billed on a subscription or one-time payment basis ("paid services"). You agree to pay the fees indicated for the plan you select.

3.2 Refund Policy
We want you to be satisfied with Qeri. If you are not satisfied with the Service, you may request a full refund within seven (7) days of your initial purchase ("Money Back Guarantee"). To request a refund, please contact us at contact@reeply.net.
Please note: By using the Service, you acknowledge that you are purchasing digital content and/or services. To the extent permitted by applicable law, you hereby waive your right of withdrawal under the EU Consumer Rights Directive once the performance of the Service has begun, relying instead on our 7-day Money Back Guarantee.

4. Intellectual Property Rights

4.1 Our IP
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Reeply B.V. and its licensors. The Service is protected by copyright, trademark, and other laws of the Netherlands and foreign countries.

4.2 Your Data
You retain all rights to any data, information, or content you submit to the Service ("User Data"). By submitting User Data, you grant Reeply B.V. a license to use, store, and process such data solely for the purpose of providing the Service to you.

4.3 Usage Restrictions
You agree not to resell, duplicate, reproduce, or exploit any part of the Service without express written permission from us.

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Reeply B.V., its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Reeply B.V.'s total liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

6. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
